These Terms of Service ("Terms") constitute a legally binding agreement between you, an individual or entity ("User," "you," or "your"), and Call Pipeline ("Call Pipeline," "we," "us," or "our"), governing your access to and use of the callpipeline.com website and any associated services, features, content, applications, or products offered by Call Pipeline (collectively, the "Service").
BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THESE TERMS, AS WELL AS OUR PRIVACY POLICY. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST CEASE ALL USE OF THE SERVICE IMMEDIATELY.
1. Acceptance of Terms
1.1. Your continued use of the Service following any modifications to these Terms signifies your unqualified acceptance of such revised Terms.
1.2. You represent and warrant that you are at least eighteen (18) years of age and possess the legal capacity to enter into this agreement. If you are accessing or using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
2. Description of Service
2.1. Call Pipeline provides a platform designed to assist businesses with lead generation, customer relationship management, and sales pipeline optimization, including tools for tracking, communication, and analytics.
3. User Accounts
3.1. Certain features of the Service may require you to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
3.2. You are solely responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account. You agree to notify Call Pipeline immediately of any unauthorized use of your account or any other breach of security.
3.3. Call Pipeline reserves the right to suspend or terminate your account and refuse any and all current or future use of the Service if any information provided by you is found to be false, inaccurate, not current, or incomplete.
4. Acceptable Use Policy
4.1. You agree to use the Service only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Service.
4.2. You shall not, nor shall you permit any third party to: (a) Use the Service for any illegal, unauthorized, or unethical purpose; (b) Transmit any material that is defamatory, offensive, or otherwise objectionable; (c) Engage in any activity that interferes with or disrupts the Service or the servers and networks connected to the Service; (d) Attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service; (e) Use the Service to send unsolicited commercial communications (spam); (f) Upload or transmit any viruses, worms, defects, Trojan horses, or any items of a destructive nature; (g) Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
4.3. You are solely responsible for all data, information, leads, and content ("User Content") that you upload, post, email, transmit, or otherwise make available via the Service.
5. Intellectual Property Rights
5.1. All content, trademarks, service marks, trade names, logos, and other intellectual property displayed on the Service, including the underlying software and technology, are the exclusive property of Call Pipeline or its licensors and are protected by applicable intellectual property laws.
5.2. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes, strictly in accordance with these Terms.
5.3. You retain ownership of all intellectual property rights in your User Content. By submitting User Content to the Service, you grant Call Pipeline a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Service and Call Pipeline's (and its successors' and affiliates') business, including for promoting and redistributing part or all of the Service.
6. Disclaimer of Warranties
6.1. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
6.2. CALL PIPELINE SPECIFICALLY DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
6.3. CALL PIPELINE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
7. Limitation of Liability
7.1. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CALL PIPELINE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT CALL PIPELINE HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
7.2. IN NO EVENT SHALL CALL PIPELINE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE) EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM.
8. Indemnification
8.1. You agree to defend, indemnify, and hold harmless Call Pipeline and its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any intellectual property, property, or privacy right; or (d) any claim that your User Content caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the Service.
9. Termination
9.1. Call Pipeline may terminate or suspend your account and deny access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
9.2. Upon termination for any reason, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
9.3. You may terminate your account at any time by contacting Call Pipeline.
10. Governing Law
10.1. These Terms shall be governed and construed in accordance with the laws of the jurisdiction where Call Pipeline is incorporated, without regard to its conflict of law provisions.
11. Changes to Terms
11.1. Call Pipeline reserves the right, at its sole discretion, to modify or replace these Terms at any time. We will endeavor to provide at least thirty (30) days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
11.2. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
